Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("User", "you", or "your") and BreederPro LLC ("BreederPro", "Company", "we", "us", or "our") governing your use of the BreederPro application and related services ("Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access. We are not liable for losses caused by unauthorized use of your account.

3. License Grant

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for managing animal breeding programs. This license does not include the right to sublicense, resell, or redistribute the Service.

4. Subscriptions and Billing

The Service offers free and paid subscription tiers. Paid subscriptions are billed on a recurring basis (monthly or annual) through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on each billing cycle.

  • Free tier: Provides limited features at no cost. Feature limits are described on the Service's pricing page and within the application.
  • Upgrades: Take effect immediately upon successful payment.
  • Renewals: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • Cancellation: You may cancel your subscription at any time through the account settings or Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.
  • Downgrades: If you downgrade or cancel, you retain access to existing data but may not create new resources that exceed the lower tier's limits.
  • Price changes: We may change subscription prices with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Acceptable Use

You agree not to:

  • Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms
  • Upload content that infringes on the intellectual property rights of others
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity, performance, or availability of the Service
  • Use automated means (bots, scrapers) to access the Service without our consent
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code, viruses, or harmful data

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your Data and Content

You retain full ownership of all data and content you input into the Service, including animal records, pedigree information, photos, documents, and breeding program data ("Your Content"). We do not claim any intellectual property rights over Your Content.

You grant us a limited license to store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

You may export a complete copy of Your Content at any time through Settings > Data & Privacy.

Team members and your customers' data. When you invite members to your account, or enter information about buyers, applicants and other contacts, you are the controller of that personal data and are responsible for having a lawful basis to collect and share it. BreederPro processes it only on your behalf and on your instructions (to provide the Service), as described in our Privacy Policy, and deletes it when you delete it or close your account.

7. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.

8. Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is owned by BreederPro LLC and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

9. Third-Party Services

The Service integrates with third-party providers including Auth0 (authentication), Stripe (payments), and Amazon Web Services (hosting). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or practices of third-party services.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

The Service is a record-keeping tool. Breeding decisions, veterinary care, and animal welfare remain your sole responsibility. We make no representations about the accuracy or completeness of any pedigree, genetic, or health data managed through the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREEDERPRO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless BreederPro LLC, its officers, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

Either party may terminate this agreement at any time. You may terminate by deleting your account through Settings > Data & Privacy. We may terminate or suspend your account if you violate these Terms, with notice where practicable.

Upon termination, your license to use the Service ends immediately. You may export your data before deleting your account. Once deleted, your data is permanently and irreversibly removed.

15. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in South Carolina or, at your election, via telephone or video conference.

Class action waiver: You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Exception: Either party may bring claims in small claims court if the claim qualifies.

16. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law principles.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice within the application or by email at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance. If you do not agree to the updated Terms, you may terminate your account.

18. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and BreederPro LLC regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
